All such guidelines or rules are hereby incorporated by reference into the Terms and Conditions. eCoaching Technology may also offer other services from time to time that may be governed by different Terms and Conditions.

THE SITE DOES NOT PROVIDE MEDICAL ADVICE.

The contents of the eCoaching Technology Site, such as text, video, graphics, images, information developed by or obtained from eCoaching Technology's licensors, and other material contained on the eCoaching Technology Site ("Content") are for informational purposes only. DESCRIPTION OF SERVICE.

eCoaching Technology currently provides users with access to a rich collection of resources, including, various communication tools, information and collaboration services, forums, shopping services, personalized content and branded programming through its network of properties (the "Service").
You also understand and agree that the Service may include advertisements. You also understand and agree that the Service may include certain communications from eCoaching Technology, such as service announcements, administrative messages, and the eCoaching Technology newsletter, and that these communications are considered part of the eCoaching Technology memebership and you will not be able to opt out of receiving them. Unless explicitly stated otherwise, any new features that enhance or augment the current Service shall be subject to the Terms and Conditions. You understand and agree that the Service is provided "AS-IS" and that eCoaching Technology assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communication, personalized settings, or user-specific data.

You are responsible for obtaining access to the Service and that access may include a membership fee to use products and services on the eCoaching Technology site. Access may also involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display of delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the Service.

YOUR REGISTRATION OBLIGATIONS.

In consideration of your use of the Service, you agree to: (1) provide true, accurate, current, and complete information about yourself as prompted by the Service's registration form, wizards such as the set-up wizard, or other personal information forms (such information being the "Registration Data") and (2) maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or eCoaching Technology has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, eCoaching Technology has the right to suspend or terminate your account and refuse any and all current and future use of the Service (or any portion thereof).

ACCOUNT, PASSWORD AND SECURITY.

You are responsible for taking all reasonable steps to ensure that no unauthorized person shall have access to your eCoaching Technology passwords or accounts. It is your sole responsibility to (1) control the dissemination and use of activation codes and passwords; (2) authorize, monitor, and control access to and use of your eCoaching Technology account and password; (3) sign-off from your account at the end of each session; (4) promptly inform eCoaching Technology of any need to deactivate a password. You grant eCoaching Technology and all other persons or entities involved in the operation of the Site the right to transmit, monitor, retrieve, store, and use your information in connection with the operation of the Site. eCoaching Technology cannot and does not assume any responsibility or liability for any information you submit, or your or third parties' use or misuse of information transmitted or received using eCoaching Technology tools and services.

TEAM PERMISSIONS AND COLLABORATION.

eCoaching Technology has several tools that allow you to record, store, and share your lesson and fitness information. For example, My Professional Team is a service that allows you to review information about your golf game, fitness, training, health, etc. published or posted by instructors and fitness professionals with whom you interact. This information is stored on servers maintained by eCoaching Technology or on its behalf. The benefit of this capability is to allow different individuals who you interact with and who are working to improve your health, fitness, and potential within a sport to collaborate for the purposes of assisting you. Using the Team Permissions screen, you, as the owner of the account, maintain access control to the viewing and sharing of your personal information and lesson data by members of your professional team. No professional who links to your account has access to your personal information and lesson data (not published or posted by him) until you grant that individual access. You have the ability to allow individual team members to view shared team data and/or contribute to the shared team data. eCoaching Technology has also provided additional safeguards such as account blocking to prevent the dissemination of personal information.

As a user of the eCoaching Technology site, you are responsible for the Team Permissions of your account and the information that each professional is able to view and share within your account. eCoaching Technology is not responsible for the intentional or accidental changes by a user to the permission settings of an account which cause the dissemination of personal information (including lesson data, notes, assessments, etc.) with unintended individuals.

MEMBER CONDUCT.

In consideration of being allowed to use the the Site, you agree that the following actions shall constitute a material breach of these Terms and Conditions:

1. Using the Site for any purpose in violation of local, state, national, or international laws;
2. Posting material that infringes on the intellectual property rights of others or on the privacy or publicity rights of others;
3. Posting material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, or hateful to any other person or entity as determined by eCoaching Technology in its sole discretion;
4. Posting advertisements or solicitations of business;
5. Disrupting the normal flow of dialogue, acting in a manner which negatively affects other users' ability to engage in real time exchanges, or posting comments that are not related to the topic being discussed (unless it is clear the discussion is free-form);
6. Posting chain letters or pyramid schemes;
7. Impersonating another person;
8. Distributing viruses or other harmful computer code;
9. Harvesting or otherwise collecting information about others, including email addresses, without their identification for posting or viewing comments; consent;
10. Allowing any other person or entity to use your identification for posting or viewing comments
11. Posting the same note more than once or "spamming";
12. Interfering with or disrupting the Service or servers or networks connected to the Service, or disobeying any requirements, procedures, policies, or regulations of networks connected to the Service; or
13. Engaging in any other conduct that restricts or inhibits any other person from using or enjoying the Site, or which, in the judgment of eCoaching Technology, exposes eCoaching Technology or any of its customers or suppliers to any liability or detriment of any type.

eCoaching Technology reserves the right (but is not obligated) to do any or all of the following:

1. Record and store the dialogue in chat rooms or forums.
2. Investigate an allegation that a communication(s) do(es) not conform to the terms of this section and determine in its sole discretion to remove or request the removal of the communication(s).
3. Remove communications or content which are abusive, illegal, or disruptive, or that otherwise fail to conform with these Terms and Conditions.
4. Terminate a user's access to any or all of the eCoaching Technology Site upon any breach of these Terms and Conditions.
5. Monitor, edit, or disclose any communication or Content in the Public Areas or the Site.
6. Edit or delete any communication(s) or Content posted on the eCoaching Technology Site, regardless of whether such communication(s) or Content violate these standards.

eCoaching Technology reserves the right to take any action it deems necessary to protect the personal safety of our members, guests, or the public.
eCoaching Technology has no liability or responsibility to users of the Site or any other person or entity for performance or nonperformance of the aforementioned activities.

eCoaching Technology is not responsible for the consequences of any communications on the eCoaching Technology site. In cases where you feel threatened or believe someone else is in danger, you should contact your local law enforcement agency immediately. If you think you may have a medical emergency, call your doctor or 911 immediately.

ADVERTISEMENTS, SEARCHES AND LINKS TO OTHER SITES.

eCoaching Technology may provide links to third-party web sites. eCoaching Technology also may select certain sites as priority responses to search terms you enter and eCoaching Technology may agree to allow advertisers to respond to certain search terms with advertisements or sponsored content. eCoaching Technology does not recommend and does not endorse the content on any third-party websites. eCoaching Technology is not responsible for the content of linked third-party sites, sites framed within the eCoaching Technology Site, third-party sites provided as search results, or third-party advertisements, and does not make any representations regarding their content or accuracy. Your use of third-party websites is at your own risk and subject to the terms and conditions of use for such sites. eCoaching Technology does not endorse any product advertised on the eCoaching Technology Site.

Any use of the Content not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other laws. Content and features are subject to change or termination without notice in the editorial discretion of eCoaching Technology. All rights not expressly granted herein are reserved to eCoaching Technology and its licensors.

If you violate any of these Terms and Conditions, your permission to use the Content automatically terminates and you must immediately destroy any copies you have made of any portion of the Content.

USER SUBMISSIONS.

You understand that all information, data, text, software, video, music, sound, photographs, graphics, messages, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not eCoaching Technology, are entirely responsible for all Content that you upload, post, email, transmit, or otherwise make available via the Service. eCoaching Technology does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive or objectionable. Under no circumstances with eCoaching Technology be liable in any way for any Content, including but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

You agree that you will not upload or transmit any communications or content of any type to the Site (including golf and web lessons, drills and exercises, forums, Ask Our Expert postings, etc.) that infringe or violate any rights of any party. By submitting communications or content to the eCoaching Technology site, you agree that such submission is non-confidential for all purposes. In cases where eCoaching Technology has specified the option for confidential information as with instructor notes tagged as confidential or proprietary, eCoaching Technology promises best efforts in safeguarding this information.

If you make any such submission to the Site, you agree that you will not send or transmit to eCoaching Technology by email, posting, or Inbox message, (including through the email addresses listed on the "Contact Us" link) any communication or content that infringes or violates any rights of any party. If you submit any business information, idea, concept or invention to eCoaching Technology by email, you agree such submission is non-confidential for all purposes.

If you make any submission to the Site or if you submit any business information, idea, concept or invention to eCoaching Technology by email, you automatically grant--or warrant that the owner of such content or intellectual property has expressly granted--eCoaching Technology a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or content in any media or medium, or any form, format, or forum now known or hereafter developed. eCoaching Technology may sublicense its rights through multiple tiers of sublicenses. If you wish to keep any business information, ideas, concepts or inventions private or proprietary, do not submit them to eCoaching Technology by email. We try to answer every email in a timely manner, but are not always able to do so.

SPECIAL ADMONISTIONS FOR INTERNATIONAL USE.

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

CONTENT SUBMITTED OR MADE AVAILABLE FOR INCLUSION ON THE SITE eCoaching Technology does not claim ownership of the Content you submit or make available for inclusion on the Service. However, with Content you submit or make available for inclusion on the eCoaching Technology Site, you grant to eCoaching Technology the following world-wide, royalty free and non-exclusive license(s), as applicable:

With respect to photos, graphics, audio or video you submit or make available for inclusion on the Service, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the Service solely for the purpose for which such Content was submitted or made available. This license exists only for as long as you elect to continue to include such Content on the Service and will terminate at the time you remove or eCoaching Technology removes such Content from the Service.

INDEMNITY.

You agree to defend, indemnify, and hold eCoaching Technology, its officers, directors, employees, affiliates, agents, licensors, co-branders, partners, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms and Conditions, your use of the Service, or your violation of any rights of another.

GENERAL PRACTICES REGARDING USE AND STORAGE

You acknowledge that eCoaching Technology may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that messages, discussion postings, lesson and personal data, or other uploaded Content will be retained by the Service, the maximum number of messages or postings that may be sent from or received by an account on the Service, the maximum size of any message or posting that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on eCoaching Technology's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that eCoaching Technology has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that eCoaching Technology reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that eCoaching Technology reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

MODIFICATIONS TO SERVICE

eCoaching Technology reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that eCoaching Technology shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

TERMINATION

You agree that eCoaching Technology may, under certain circumstances and without prior notice, immediately terminate your eCoaching Technology account, and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the Terms and Conditions or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical issues or problems, and (f) extended periods of inactivity. Termination of your eCoaching Technology account includes (a) removal of access to all offerings within the Service, including but not limited to My Golf Game, Virtual and Web Lessons, Pro Shop, Pro Center, Pro Services, Site Administration, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring further use of the Service. Further, you agree that all terminations for cause shall be made in eCoaching Technology's sole discretion and that eCoaching Technology shall not be liable to you or any third-party for any termination of your account, any associated email address, or access to the Service.

eCoaching Technology'S PROPRIETARY RIGHTS

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by eCoaching Technology or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

eCoaching Technology grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the Service by any means other than through the interface that is provided by eCoaching Technology for use in accessing the Service.

U.S. EXPORT CONTROLS

Software from this Website (the “Software”) is further subject to United States export controls. No Software may be downloaded from the Website or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other Country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading or using the Software, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

2. eCoaching Technology MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.



3. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

5. eCoaching Technology'S PRODUCT AND SERVICE LIABILITY IN ALL EVENTS IS LIMITED TO, AND SHALL NOT EXCEED, THE COST OF THE PRODUCT OR SERVICE PAID, EXCLUDING SHIPPING COSTS AND ANY APPLICABLE TAXES.

LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT eCoaching Technology SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR PERSONAL INJURY/WRONGFUL DEATH, LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF eCoaching Technology HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

EXCLUSIONS AND LIMITATIONS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Without eCoaching Technology's prior permission, you agree not to display or use in any manner, the eCoaching Technology Marks.

COPYRIGHTS.

eCoaching Technology respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide eCoaching Technology with the following information:

1. a description of the copyrighted work or other intellectual property that you claim has been infringed;
2. a description of where the material you claim is infringing is located on the site;
3. your email address, street address including city and state and zipcode, and phone number;
4. au electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
5. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
6. a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on behalf of the owner of the copyright/intellectual property.

eCoaching Technology is based in North Palm Beach, Florida, in the United States of America. eCoaching Technology makes no claims that the Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. If you access the eCoaching Technology Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. The following provisions survive the expiration or termination of these Terms and Conditions for any reason whatsoever: Liability, User Submissions, Indemnity, Jurisdiction, and Complete Agreement.

JURISDICTION.

You expressly agree that exclusive jurisdiction for any dispute with eCoaching Technology, or in any way relating to your use of the eCoaching Technology Site, resides in the courts of the State of Florida and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of Florida in connection with any such dispute including any claim involving eCoaching Technology or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers, and content providers.

These Terms and Conditions are governed by the internal substantive laws of the State of Florida, without respect to its conflict of laws principles. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
